To register a branch office, the parent entity must apply through BRELA ORS and submit certified copies of:
Parent company Incorporation Certificate and Charter/Articles.
List of parent company directors and corporate officers.
Designation of a local resident representative authorized to accept legal service on behalf of the firm.
Physical address of the branch office in Tanzania.
Establishing a Foreign-Owned Subsidiary
A subsidiary is incorporated as a domestic Tanzanian company where foreign shareholders hold up to 100% equity (subject to specific sector regulations like mining, telecommunications, or shipping that mandate local equity participation).
This setup is ideal for long-term investments, securing government contracts, and accessing local tax incentives.
Which one Should You Choose?
Choose a Branch if you are executing a short-term, single-project contract (e.g., engineering, short-term consultancy) and do not plan to establish long-term local assets.
Choose a Subsidiary if you plan to build an ongoing market presence, acquire landed assets, hire local teams, or qualify for Tanzania Investment Centre (TIC) benefits.
